Indonesia has prioritised the development of its capital markets. We are regular counsel of choice to many of the world's leading investment banks in relation to their activities and operations in Indonesia. We work closely with Herbert Smith Freehills leading UK and US law securities practices in Hong Kong and Singapore to advise Indonesian issuers and international underwriters and arrangers on a variety of transactions. Our team has broad expertise advising on international securities offerings (both debt and equity) and on Indonesian securities offering rules and takeovers.
We have also assisted Indonesia Stock Exchange (IDX), KSEI (Indonesian , KPEI and Financial Services Authority (OJK) in relation to the establishment of the Indonesia Securities Investor Protection Fund. We are licensed as capital market legal consultants by OJK.
We have substantial experience in dealing with complex legal structures and technical issues and are accustomed to providing solutions that meet the needs of our clients. We have also been at the forefront of major innovative IPO and capital markets transactions involving Indonesian companies.

DEBT CAPITAL MARKET
  • Citigroup, Barclays, and HSBC: acting as the Indonesian legal counsel in relation to the issuance of US$2,500,000,000 (in aggregate) Senior Notes by PT Pertamina (Persero) (a state-owned oil and gas enterprise).
  • Citigroup and Barclays: acting as the Indonesian legal counsel in relation to the establishment of Perusahaan Listrik Negara (PLN)’s US$2 billion Global Medium Term Note Programme where we acted as Indonesian counsel to.
  • Indonesia Eximbank: acting as sole transaction legal counsel in relation to the first ever transaction in Indonesia on the establishment of an EMTN programme for Indonesia Eximbank (the Indonesian Export and Import Agency).
  • BofA Merrill Lynch, Credit Suisse, and J.P. Morgan: acting as the Indonesian legal counsel to the joint bookrunners in relation to the issuance of US$500,000,000 Guaranteed Senior Secured Notes by PT Berau Coal Energy Tbk (a publicly listed coal company). This was the first deal to implement the new material transaction regime prescribed by the Indonesian Capital Market and Financial Institution Supervisory Agency – BAPEPAM-LK (now OJK).
  • Citigroup and Standard Chartered Bank: acting as the Indonesian legal counsel in relation to the issuance of US$500,000,000 notes by PT Bank Rakyat Indonesia (Persero) (a state owned bank in Indonesia).
  • Barclays and DBS Bank: acting as Indonesian legal counsel in relation to the issuance of US$350,000,000 senior secured notes by Star Energy Geothermal (Wayang Windu) Limited .
  • Citigroup, UBS, JP Morgan and Standard Chartered Bank: acting as Indonesian legal counsel in relation to the exchange offer of US$92,382,000 outstanding Senior Notes and the issuance of US$98,448,000 new Senior Notes by PT Modernland Realty Tbk (a public listed property developer company);
  • PT Pakuwon Jati Tbk: acting as Indonesian legal counsel in relation to the issuance of US$168,000,000 Senior Notes and the reopening of US$32,000,000 by PT Pakuwon Jati Tbk (a public listed property developer company);
